Terms of Service
1) Acceptance of Terms
These Terms of Service (“Terms”) govern your access to and use of the website at 501grp.com
and any services offered by 501 Group LLC (“501 Group,” “we,” “us,” or “our”). By accessing or using our site or engaging our services, you agree to these Terms.
2) Services
We provide technology advisory and implementation services, including fractional CTO leadership, AI & data strategy, and cloud optimization. Specific scope, deliverables, timelines, and fees may be set out in separate statements of work, proposals, or order forms (each, an “Order”). If there is a conflict between an Order and these Terms, the Order controls for the conflicting portion.
3) Client Responsibilities
- Provide timely access to necessary personnel, systems, and information.
- Designate a knowledgeable point of contact with decision-making authority.
- Ensure you have rights to share any materials or data you provide.
- Promptly review and accept deliverables, or provide clear revision feedback.
4) Fees & Payment
- Fees are as stated in the applicable Order. Unless otherwise stated, invoices are due net 15 days.
- Late amounts may accrue interest at the lesser of 1.5% per month or the maximum allowed by law.
- You are responsible for applicable taxes (excluding our income taxes).
5) Confidentiality
Each party may disclose non-public information marked or reasonably understood to be confidential (“Confidential Information”). The receiving party will: (i) use it only to perform under these Terms; (ii) protect it with at least the same care it uses for its own confidential information (no less than reasonable care); and (iii) not disclose it to third parties except to personnel and service providers who need to know and are bound by confidentiality obligations. These obligations do not apply to information that is public, independently developed, or rightfully obtained from a third party.
6) Intellectual Property
- Your Materials: You retain all rights in content, data, and materials you provide. You grant us a limited license to use them solely to perform the services.
- Our Tools & Know-How: We retain rights in our preexisting tools, templates, methods, and know-how, including generalized learnings developed while providing the services.
- Deliverables: Upon full payment, and unless otherwise stated in the Order, you receive a worldwide, non-exclusive, perpetual license to use the deliverables for your internal business purposes. If the Order specifies a work-made-for-hire/assignment, that will control.
7) Publicity
We may reference you as a client (name and logo) in a customary list unless you object in writing. We will not disclose confidential details without consent.
8) Warranties & Disclaimers
- Each party represents it has the authority to enter these Terms.
- We will perform services in a professional and workmanlike manner consistent with industry standards.
- Disclaimer: Except as expressly stated, the services, site, and deliverables are provided “as is” without warranties of any kind, whether express, implied, or statutory (including warranties of merchantability, fitness for a particular purpose, and non-infringement). Outcomes may vary; we do not guarantee specific business results.
9) Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or loss of profits, revenue, data, or business. Except for payment obligations and breaches of confidentiality or IP rights, each party’s total liability under these Terms will not exceed the amount paid or payable by you for the services giving rise to the claim during the 6 months preceding the event.
10) Indemnification
You agree to indemnify and defend 501 Group from claims arising out of: (i) your use of the services or site in violation of law or these Terms; (ii) materials or data you provide; or (iii) your products or services.
11) Term & Termination
- These Terms apply while you use the site or services.
- Either party may terminate services for material breach not cured within 15 days of notice.
- Upon termination, you will pay for services rendered up to the effective date; Sections intended to survive (e.g., fees, confidentiality, IP, disclaimers, limits of liability) will survive.
12) Compliance; Data Protection
Each party will comply with applicable laws. If we process personal data on your behalf under data protection laws, we can provide a standard data processing addendum upon request.
13) Governing Law & Venue
These Terms are governed by the laws of your state of formation (or, if none specified, the laws of the United States and the state where 501 Group is headquartered), without regard to conflict-of-laws rules. Courts located there have exclusive jurisdiction, and the parties consent to personal jurisdiction and venue.
14) Changes to Terms
We may update these Terms from time to time. The “Effective date” above reflects the latest version. If changes are material, we will take steps required by law.
